Terms and Conditions
  1. EXS Tokens

    1. Users will use tokens called "EXS Tokens" from the App in various ways, including but not limited to purchasing Collectibles or signed merchandising ("Products") or signing up for in-private training sessions, in-stadium experiences or meet-and-greet sessions with athletes ("Services"). The athlete agrees to accordingly be paid for any sale or offer of Products or Services in the form of EXS Tokens. The EXS Tokens are non-refundable, but can be used as a digital currency on the App, and can be transferred to other users.

    2. The athlete further agrees that on certain events and competitions ("Event"), the Company may distribute an additional bonus percentage of the athlete's prize money to users who own Collectibles featuring the athlete in the form of EXS Tokens.

    3. The athlete agrees to share, and for the Company to distribute, the royalty fees ("Royalty Fees") generated from each sale of digital collectibles in the form of EXS Tokens.

    4. Every purchasing transaction is subject to a fee ("Transaction fee") on our Marketplace and apps.

    5. The athlete will also receive additional Royalty Fees for those secondary market digital collectible sales, that are generated from their designated collectible and happens within the ecosystem of the EXS Marketplace.

    6. On occasion, to manage external, or internal factors, that affects our business growth or have the potential of making the existing business model unsustainable, the company is allowed to make changes to the overall fee structure and its rates.

    7. Notwithstanding the above, the Company will, from time to time, seek the opinions of the athlete regarding any other royalty fees sharing plans and arrangements, and at the Company's sole discretion, cooperate with the athlete in implementing such plans and arrangements.

    8. The Company reserves the right to develop rewards point systems in relation to the Collectibles with a third party software developer, including but not limited to the following:

      • For each time that an athlete wins at an Event, reward points called "WinZ" are generated for each user who owns the Collectible featuring the winning athlete. Conversely, for each time that an athlete loses at an Event, WinZ points get deducted; and

      • For each time that an athlete is increasing in popularity at an Event, reward points called "FameZ" are generated for each user who owns the Collectible featuring the athlete with increasing popularity, which will be measured in a manner as determined by the Company at its sole discretion.

    9. The reward points can then be redeemed and converted into EXS Tokens. The Company shall, at its sole discretion, determine the conversion rate of the reward points vis-a-vis the EXS Tokens, which shall vary from athlete to athlete and depends on the nature of the Event.

    10. The Company further reserves the right to develop a game with a third party software developer based on the Collectibles in which both users who have purchased the Collectibles and athletes may participate, and shall be entitled to grant a sub-license in relation to its License to Image (as defined below) to the third party software developer for the purposes of developing the card game.

    11. For the avoidance of doubt, the athlete does not earn any additional royalty fee from any grant of license or sub-license in relation to the Images for the purposes of developing, using or participating in the card game, other than the Athlete Royalty Fees as set out in Clause 4.3 above.

    12. We will not be liable for any damage that you may suffer as a result of your transactions or any other interaction with any third party software developer in connection with the reward point systems and/or the game.
